The cybersecurity market serving mid-market companies is large and growing, but most solutions don't fit. Enterprise tools assume a dedicated security team. SMB tools don't match the risk profile of a regulated mid-market business. SideChannel sits in that gap. The company runs two business lines that work together: Enclave, a zero-trust security platform covering asset intelligence, network segmentation, and certificate lifecycle management; and fractional vCISO services that deliver experienced security leadership without the cost of a full-time hire. Customers get the strategy and the infrastructure from the same team. The business is moving from services economics to platform economics, trading near-term services revenue for recurring, higher-margin SaaS revenue as Enclave scales through a channel and alliances strategy across MSPs, MSSPs, and channel partners. For investors, the thesis is straightforward: a proven services engine is funding the build-out of a platform with recurring revenue, in a market where demand is structural and regulation is tightening.

Hugh Regan

Independent Director

Mr. Regan recently retired from his role as Secretary, Treasurer and Chief Financial Officer of inTEST Corporation, a publicly traded manufacturer of capital equipment used in the semiconductor industry and other markets, and currently works as a private consultant to businesses, assisting them with various strategic issues. Mr. Regan served in his roles at inTEST for just over 25 years, from April 1996 until June 2021. From 1985 to April 1996, Mr. Regan served in various financial capacities for Value Property Trust, a publicly traded real estate investment trust, including Vice President of Finance from 1989 to September 1995 and Chief Financial Officer from September 1995 until April 1996. Mr. Regan qualifies as an independent member of the Company's Board of Directors and will serve as the Chairperson of the Company's Audit Committee.

Brian Haugli

Inside Director & Chief Executive Officer

Brian has been driving security programs for two decades and brings a true practitioner’s approach to the industry. He creates a more realistic way to address information security and data protection issues for organizations. He has led programs for the DoD, Pentagon, Intelligence Community, Fortune 500, and many others. Brian is a renowned speaker and expert on NIST guidance, threat intelligence implementations, and strategic organizational initiatives. Brian is the contributing author for the latest book from Wiley, “Cybersecurity Risk Management: Mastering the Fundamentals Using the NIST Cybersecurity Framework“. Lastly, he is a professor at Boston College, in the Woods College of Advancing Studies, Master’s Program in Cybersecurity.

Nick Hnatiw

Inside Director & Chief Technology Officer

Mr. Hnatiw serves as the Company’s Chief Technology Officer since November 2020. Mr. Hnatiw has more than 15 years of experience creating software technologies from network security to artificial intelligence. Mr. Hnatiw has led the design and development of a security risk assessment SaaS platform, run a security monitoring service with a custom-built next generation automation and SIEM system. Prior to joining the Company, Mr. Hnatiw served as the technical director for network operations supporting U.S. Cyber Command, U.S. Intelligence Agencies, and other Department of Defense research organizations from October 2010 to October 2014. From June 2015 to September 2019, Mr. Hnatiw was the Chief Executive Officer of Loki Labs, a cyber security firm. Mr. Hnatiw is also currently a consultant with Cuesta Partners (since January 2020) and partner of RealCISO.io (since October 2020). Mr. Hnatiw earned a Bachelor of Science degree in computer engineering and computer science at the University of Massachusetts, Amherst. We believe Mr. Hnatiw is qualified to serve as the Chief Technology Officer and Director based on his technology leadership experience.

Anna Seacat

Independent Director

Ms. Seacat brings more than a decade of marketing and technology leadership experience spanning cybersecurity, enterprise software, and regulated industries. From December 2022 to June 2025, she served as Chief Marketing Officer of DeepSeas, a cybersecurity company specializing in managed detection and response, threat intelligence, and advisory services for cyber resilience. Earlier, she held senior marketing leadership roles at Proxy, an identification-technology company, and at Ascension, one of the nation's largest nonprofit health systems. Ms. Seacat has led the launch of multiple technology solutions and brands, including new cybersecurity offerings and an AI-based IoT platform at IBM, and she is known for applying design-thinking principles to translate complex technologies into narratives that drive adoption and growth. Her experience also includes entrepreneurial and agency work across hospitality and aviation, further strengthening her operational versatility and customer-centric approach.
